These Terms of Service (“Terms”) govern your access to and use of SupaBird (the “Service”), operated by SupaBird OÜ, a private limited company registered in Estonia (registry code 16771484), with its registered address at Sepapaja tn 6, Lasnamäe linnaosa, Tallinn, Harju maakond, 15551, Estonia (“SupaBird,” “we,” “us,” or “our”).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
SupaBird helps creators and companies grow and manage their presence on X (Twitter) and other social media platforms, including tools for content ideation, scheduling, posting, and crossposting across multiple platforms. We may add, change, or remove features at any time.
2. Accounts
You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at farid@supabird.io if you suspect unauthorized use.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
3. Subscriptions and Billing
Certain features of the Service require a paid subscription, billed on a recurring monthly or annual basis. By subscribing, you authorize us to charge your chosen payment method automatically at the start of each billing cycle until you cancel.
Auto-renewal: Subscriptions renew automatically unless cancelled before the end of the current billing period.
Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
Refunds: Except where required by law, payments are non-refundable, including for partial billing periods.
Price changes: We may change subscription pricing. We will notify you in advance, and changes take effect at your next renewal.
EU consumer withdrawal right: If you are a consumer residing in the European Union, you have a 14-day right of withdrawal from digital service purchases under EU law. By subscribing, you acknowledge that the Service begins immediately and expressly consent to waive this withdrawal right once access to the Service has started, and that you lose your right of withdrawal accordingly. If you do not provide this consent at checkout, statutory withdrawal rights apply instead of the non-refundable policy above.
4. Third-Party Platforms and APIs
The Service connects to and relies on third-party social media platforms and their APIs (including X/Twitter and other platforms supported for crossposting) to function. We do not control, and are not responsible for, these platforms’ availability, performance, policies, or changes to their APIs or terms of service.
You acknowledge that:
Service functionality may be limited, degraded, or interrupted due to outages, rate limits, or policy changes on third-party platforms that are outside our control.
You are responsible for complying with the terms of service of any third-party platform you connect to SupaBird.
We are not liable for any suspension, restriction, or termination of your third-party platform accounts, even if related to your use of SupaBird.
5. Acceptable Use
You agree not to use the Service to:
Violate any applicable law or the terms of service of any connected platform.
Post spam, engage in coordinated inauthentic behavior, or manipulate platform metrics in ways prohibited by the connected platform.
Infringe on the intellectual property, privacy, or other rights of any third party.
Distribute malware, or attempt to gain unauthorized access to the Service or other users’ accounts.
We may suspend or terminate accounts that violate these rules.
6. Your Content
You retain ownership of the content you create, upload, or publish through the Service (“Your Content”). You grant SupaBird a limited license to store, process, and transmit Your Content solely to provide and operate the Service, including publishing it to third-party platforms at your direction.
You are solely responsible for Your Content, including any content generated with the help of SupaBird’s tools, and for ensuring it complies with applicable law and the policies of any platform you publish to.
7. Intellectual Property
The Service, including its software, design, and branding, is owned by SupaBird OÜ and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the Service as intended.
8. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that it will achieve any particular growth, engagement, or business outcome.
9. Limitation of Liability
To the maximum extent permitted by law, SupaBird OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service, including losses caused by third-party platform outages, policy changes, or account actions.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
This limitation does not apply to damages caused by our intent (wilful misconduct) or gross negligence, or to any other liability that cannot be limited or excluded under applicable mandatory law.
10. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, or for any reason with reasonable notice, except where immediate termination is warranted (e.g., security or legal risk).
11. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., by email or in-app notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law and Disputes
These Terms are governed by the laws of Estonia, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Estonia.
If you are a consumer residing in the European Union, nothing in these Terms deprives you of the protection afforded by mandatory provisions of the law of your country of residence, including your right to bring proceedings before the courts of your own country.
